Terms & Conditions

Last updated: 6 October 2026

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Domson B2B e-commerce platform ("Platform") operated by Domson Ltd, a company registered in England and Wales (company number 06460707) with its registered office at 19 Wellington Road, London E17 6LS, United Kingdom, and its trading address at 1-10 Gordon Road, Waltham Abbey, EN9 1AF ("we", "us", "our").

By registering an account or using the Platform, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use the Platform.

The purchase of goods through this Platform is governed by our separate Terms of Sale.

2. Business-to-Business Platform

This Platform is intended solely for business customers ("Buyers") purchasing goods in the course of their trade, business, craft or profession. By using this Platform, you confirm that you are acting in a business capacity and not as a consumer. The Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to transactions on this Platform.

3. Account Registration

To place orders on the Platform, you must register a business account. When registering, you agree to:

  • Provide accurate, current and complete information about your business.
  • Keep your account information up to date, including your company name, address, VAT number and contact details.
  • Keep your password secure and confidential. You are responsible for all activity under your account.
  • Notify us immediately of any unauthorised use of your account at office@domson.co.uk.

Important: Submitting a registration does not automatically grant you access to the Platform. All new registrations are subject to manual verification by our team, which may take up to 2 business days. During this process we verify your business credentials and confirm that your delivery location falls within our service area.

Because we deliver using our own transport fleet, our coverage is limited to selected areas of the United Kingdom. If your location is outside our delivery range, we may not be able to approve your account. You will be notified by email once your registration has been approved or declined. Please do not attempt to log in until you receive a confirmation email.

We reserve the right to suspend or terminate any account that we reasonably believe has been used in breach of these Terms.

4. Company Accounts and Authorised Users

A company account may have multiple authorised users (employees). The company administrator is responsible for managing access, including:

  • Adding and removing employees from the company account.
  • Setting spending limits for individual employees where applicable.
  • Ensuring all authorised users comply with these Terms.

The company shall be liable for all orders placed by its authorised users through its account.

5. Quotes and Approvals

The Platform may provide features allowing you to request a quote (RFQ) or submit orders for internal approval. These features are provided as tools to support your business workflows. A quote issued through the Platform is an invitation to treat and does not constitute a binding offer until accepted and confirmed by us.

Orders placed through the Platform follow a "confirm-then-pay" model: your order is first reviewed and confirmed by our team (including stock verification), and payment is collected only after confirmation. See our Terms of Sale for full details on the payment process.

6. Intellectual Property

All content on this Platform — including text, images, logos, product descriptions, graphics and software — is owned by or licensed to Domson Ltd and is protected by copyright, trade mark and other intellectual property laws of the United Kingdom and international treaties.

You may not reproduce, distribute, modify or create derivative works from any content on this Platform without our prior written consent.

7. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform, other accounts, or computer systems.
  • Use automated tools (bots, scrapers) to access the Platform without our written permission.
  • Interfere with or disrupt the Platform or its servers.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

8. Payment Processing and Surcharges

Payment for orders is collected after order confirmation, not at the time of placing the order. The following payment methods are available:

  • Card payments (Stripe): A payment processing surcharge is applied to cover the transaction fees charged by the payment provider. The exact surcharge amount is displayed before you confirm payment. As a wholesale distributor operating on low margins, we pass through this cost transparently rather than increasing product prices.
  • Revolut Pay: A payment processing surcharge applies (1.5% + 20p), shown before you confirm payment.
  • Pay by Bank (open banking): An instant bank transfer directly from your bank account, processed by our payment provider, at no additional charge. This is not a deferred payment or credit facility — the full amount is transferred immediately when you authorise the payment.

Outstanding invoices can be viewed and paid at any time via your customer account panel under Account > Invoices. Full payment terms are set out in our Terms of Sale.

9. Limitation of Liability

To the fullest extent permitted by law:

  • The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free or free of viruses.
  • We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, use, goodwill or other intangible losses arising out of or in connection with your use of the Platform.
  • Our total aggregate liability to you for any claims arising from your use of the Platform shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
  • Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by English law.

10. Indemnification

You agree to indemnify and hold harmless Domson Ltd, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your use of the Platform.

11. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use and protect your personal data in accordance with the UK GDPR and the Data Protection Act 2018.

12. Compliance, Due Diligence and Third-Party Integrations

Domson Ltd operates back-office systems and third-party integrations — including interfaces with HM Revenue & Customs (HMRC), such as VAT number verification — for the purposes of tax compliance, customer due diligence and fraud prevention.

We may use these systems to verify the business credentials and VAT registration details you provide when registering or maintaining your account, and to meet our legal and regulatory obligations. Any personal data processed in connection with these checks is handled in accordance with our Privacy Policy.

13. Domson Customs (HMRC Customs Declarations Software)

In addition to the Platform, Domson Ltd develops and operates "Domson Customs", an internal software application that connects to the customs APIs of HM Revenue & Customs (HMRC). This section is published because HMRC requires software that connects to its APIs to have published terms and conditions. It applies only to the application and its authorised users; it does not affect your use of the Platform as a customer.

13.1 What the application does

  • Prepares, checks and lodges Domson Ltd's own import declarations with HMRC's Customs Declaration Service (CDS), entry summary declarations with the Safety and Security GB service and goods movement references with the Goods Vehicle Movement Service (GVMS), and follows their status through HMRC's notifications.
  • Prepares the Polish export documents and declarations of Domson Poland Sp. z o.o. (AES, transport and veterinary documents, French customs envelopes) for the same shipments.
  • Keeps a record of every declaration, message and item of evidence for the statutory retention periods, and shows deadlines and alerts for each truck.

Domson Ltd (company number 06460707, registered office 19 Wellington Road, London E17 6LS, United Kingdom) uses the application as the importer and declarant, and as the haulier for goods movement references, for its own goods. It is not a customs agency service and does not lodge declarations on behalf of other businesses. The application is not provided by HMRC, and Domson Ltd makes no claim that it is HMRC recognised, approved, accredited or certified. HMRC may change its APIs with notice; Domson Ltd will adapt the application accordingly.

13.2 Who may use it

  • Only employees and contractors of Domson Ltd and Domson Poland Sp. z o.o. who have been granted access by Domson Ltd. Access requires a client certificate issued by Domson Ltd, a login to the Domson staff portal and the "Customs" permission on the account. There is no fee, no public sign-up and no service offered to third parties.
  • Accounts and certificates are personal. Users must keep them confidential, must not share them and must tell Domson Ltd at once if they suspect they have been compromised.
  • The application's connection to HMRC is authorised once by an administrator using Domson Ltd's dedicated Government Gateway office user. That user ID and its password are never entered into the application and must never be shared with anyone who is not authorised by Domson Ltd to hold them.
  • Access ends when the user's employment or engagement ends or when Domson Ltd withdraws it. By using the application, users accept this section as part of their duties for Domson Ltd or Domson Poland Sp. z o.o.

13.3 Domson Ltd's responsibilities

  • Develop, host, maintain and secure the application, and keep the HMRC credentials and authorisation tokens it holds confidential and encrypted.
  • Comply with the HMRC Developer Hub terms of use for the software, including its development, error-handling, data-protection and security-incident requirements, and keep a named responsible individual for the software.
  • Keep the records of declarations, messages and evidence for the periods the law requires and make them available to the authorities on request.
  • Operate the security-incident procedure in section 13.6 and the data-protection measures in section 12 of our Privacy Policy.
  • Tell users about changes that affect how they work with the application.

13.4 Users' responsibilities

  • Use the application only for the business purposes of Domson Ltd and Domson Poland Sp. z o.o. and in line with the internal procedures for their desk.
  • Check the data the application has prepared before releasing a declaration. A declaration lodged through the application is a declaration made by Domson Ltd (or Domson Poland Sp. z o.o.) to the authority concerned, with the legal consequences that follow; the application shows warnings and blocks known errors, but it does not replace the user's check.
  • Not bypass the application's checks, switches or environment settings, not copy data out of it except as their work requires, and not use the sandbox (test) environment for real goods or the production environment for tests.
  • Report any error, unexpected behaviour or suspected security problem promptly (section 13.6).

13.5 Availability, changes and data

Domson Ltd aims to keep the application available during working hours but does not guarantee uninterrupted availability; planned maintenance is announced to users where practicable. When the application or an authority's system is unavailable, the internal fallback procedures apply (including lodging through a customs agent); deadlines set by the authorities are not suspended by an outage. Features may be added, changed or switched off; environment and desk switches are controlled by administrators and every change is logged. Support is provided internally by Domson Ltd (contact details in section 17).

The data processed in the application, the purposes, the legal bases, the recipients, the storage location, the security measures and the retention periods are described in section 12 of our Privacy Policy, which forms part of these terms for the application. The data belongs to Domson Ltd and Domson Poland Sp. z o.o.

13.6 Security incidents

Users and anyone outside Domson can report a security risk or incident concerning the application to office@domson.co.uk with the subject "Security", or by telephone to (+44) 02085 589 400. Domson Ltd's incident procedure then applies: containment (revoking credentials and tokens, stopping submissions), a report to HMRC through the Developer Hub within 72 hours with the name and telephone number of the breach contact, a report to the Information Commissioner's Office within 72 hours where personal data is affected, an incident register and a post-incident review.

Section 16 (Governing Law and Jurisdiction) applies to this section. Nothing in it limits the rights or duties of users under their employment or service contracts or under the law.

14. Amendments

We may revise these Terms at any time by updating this page. The revised Terms will apply from the date of publication. We recommend that you check this page regularly. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
